Terms of service
Last updated October 30, 2026
Article 1 (Purpose)
These terms set out the matters required between Mindlogic (the "Company") and its users in relation to DUETA (the "Service"), which the Company provides.
DUETA is the product's name; Mindlogic is the company you are contracting with.
Article 2 (Definitions)
① The terms used in these terms of service are defined as follows.
- Service: the API and the web console through which a user submits audio for processing, such as speech separation, and downloads the result.
- Account: the registration created with an email address and a password, or through Google sign-in, which lets a user submit work.
- Credit: prepaid value, denominated in US dollars, held against an account and deducted as jobs run.
- Job: one submission of audio for processing, and the result returned for it.
- API key: a secret a user issues in the console to authenticate calls made outside it.
- Content: the audio a user uploads to the Service and the results the Company returns from processing it.
② Except as provided in paragraph ①, terms used here follow the relevant statutes and ordinary commercial practice.
Article 3 (Publication, effect and amendment of these terms)
① The Company publishes the content of these terms at a place of its choosing within the Service screens, where users can read it.
② These terms take effect when a user uses the Service, or applies to register and the Company accepts, at which point the user is deemed to have agreed to them.
③ The Company may amend these terms within a scope that does not violate the Act on the Regulation of Terms and Conditions, the Framework Act on Electronic Documents and Transactions, the Digital Signature Act, the Act on Promotion of Information and Communications Network Utilization and Information Protection, the Act on Consumer Protection in Electronic Commerce and other relevant statutes.
④ Where the Company amends these terms, it states the content of the amendment and the reason for it and gives notice from at least 7 days before the effective date until that date. Where the amendment is unfavorable to users or is a material change, notice is given from at least 30 days before the effective date and is also sent to the email address on the account.
⑤ A user who does not agree to an amendment may terminate the agreement before its effective date. Continuing to use the Service after that date is deemed agreement to the amended terms.
Article 4 (Registration)
① A user applies to register by entering an email address and a password, or by signing in with a Google account, and may use the Service once the Company accepts the application.
② The Company may accept or refuse an application after checking it.
③ One account per person. An organization is not a separate sign-up. Any account may create organizations or join them by invitation. The signup credit is granted once per person, to that person's own organization; an organization created in addition receives none. Creating additional accounts or organizations in order to receive the signup credit repeatedly is a breach of these terms.
④ A user must keep the email address on the account current, because it is how the Company gives notice, and is responsible for keeping the password and any API keys secret. The user is responsible for everything done with an API key; where a key is exposed, it must be revoked or rotated in the console immediately.
⑤ The Service is for adults and is not provided to children.
⑥ Any account may create an organization free of charge and invite others to it. The account that creates an organization becomes its Owner, and an organization always keeps at least one Owner.
⑦ An organization has one prepaid balance. Credit bought for an organization belongs to that organization and is used by its members according to the roles its Owners and Admins assign. Credit cannot be moved between organizations.
⑧ Owners are responsible for the members they admit and for the organization's use of the Service. A purchase made for an organization is the organization's purchase; refunds follow the refund policy and are returned to the payment method used.
⑨ An Owner may close an organization when none of its jobs is running and no payment for it is in progress. Closing revokes its API keys, invitations and share links and freezes its balance. For 30 days the organization can still be read, its purchased credit can be refunded, and the Company can restore it on request; after that its members lose access. Its address (URL) is not reused. The Company may suspend an organization that breaches these terms. An account's own organization cannot be closed apart from the account (Article 12).
⑩ Every account has an organization of its own, created at sign-up, unless the account was created through an invitation. Credit belongs to an organization. Members spend its balance up to the limit its Owner sets; a member's use does not by itself charge the Owner's saved card. Credit a member adds to a person's own organization becomes that Owner's balance, and the Owner's own work spends it too.
Article 5 (Content and provision of the Service)
① The Service the Company provides to users consists of the following, and the Company may add to or restrict it where necessary.
- Processing: separating the speakers in a recording a user submits, and returning the resulting stems together with a quality estimate where the job produces one.
- Console: submitting jobs from a web browser and reviewing results, usage and payment history.
- API: calling the same jobs outside the console with an API key the user has issued.
② The Company provides the Service 24 hours a day, every day, as a principle. However, the Company may suspend all or part of the Service at any time on account of a fault in the Service, or in order to resolve a fault, improve quality or change its content.
③ Operating limits as they stand today: up to 100 MB per file, up to 120 minutes of audio in total across the files of one job, up to 30 minutes in one Duplex recording, and up to 10 recordings in a job that takes more than one. Any audio format the Company's decoder can read is accepted. Submissions are rate-limited per account, and a small number of jobs run at once for each account. The current figures are in the documentation, which forms part of these terms, and may change as capacity changes.
④ A user may operate the Service by the ordinary method the Company provides. Operation carried out automatically or repeatedly by mechanical means does not constitute the "ordinary method", except that calling the API with a key the Company has issued, in the manner described in the documentation, is the ordinary method of using this Service and is expressly permitted.
⑤ The separation quality achievable depends heavily on the recording submitted, and a quality score is an estimate rather than a measurement. Neither is warranted to reach any particular standard.
Article 6 (Free service)
① The Company grants $10 of credit to a new account, once, free of charge.
② Credit granted free of charge has no cash value and is not refundable.
③ The Company bears no liability whatsoever for the permanent or temporary suspension or alteration of all or part of the free service.
Article 7 (Paid service, charges and payment)
① A user may use the paid service in accordance with the Company's pricing policy. The Company publishes that policy on the pricing page, and a user should read it carefully before paying.
② Credit is prepaid and denominated in US dollars. There is no subscription, no plan and no tier: a user buys credit by pressing a ticket ($10 / $50 / $100 / $200, or any whole dollar amount from $5 to $500), and it is deducted as jobs run. Credit does not expire.
③ Processing is charged per minute of input audio at each engine's own rate, which may differ between engines and is published on the pricing page: Music Source Separation $1, Duplex Conversation Separation $0.50, Multi Mic Separation $0.50, Target Speaker Extraction $0.50, Noise Reduction $0.50. Charges are prorated by the second, with no minimum. Every job is quoted before it runs and billed once, against the length of the audio submitted: a job over several microphone recordings is billed as the sum of those recordings, and the voice sample submitted with a Target Speaker Extraction job is not billed. A job that fails on the Company's side or is canceled is not charged, and any credit it held is returned to the balance.
④ A user agrees that the Company may charge all amounts arising under the Service to the user's credit card or to another payment method the user selects and the Company approves.
⑤ Payments are processed by Payple Co., Ltd. Domestic payment supports credit and debit cards, simple-payment services and bank transfer, in Korean won; overseas payment supports credit cards in US dollars or Japanese yen. The price is stated in US dollars for everyone, and the amount in the currency your card will be charged in is displayed before you commit. The Company neither receives nor stores card numbers; a card kept on file reaches the Company only as a token, a brand and the last four digits.
⑥ Unless stated otherwise, a price the Company displays is the service charge alone, exclusive of taxes, public dues and regulatory fees.
⑦ A user agrees that receipts, invoices and similar documents may be issued electronically, by email or in the console.
⑧ The Company may change the price of the Service. A price change applies to credit purchased after it takes effect and does not alter the value of credit already bought.
⑨ Card payments currently run against the payment provider's test system. Test card payments may temporarily charge your card before automatic cancellation by the provider. Orders, receipts and spendable credit are real. The console marks these orders as Demo. This paragraph is amended when live payments are switched on.
Article 8 (Withdrawal of subscription and refunds)
① Credit is a digital good supplied immediately. Under Article 17(1) of the Act on Consumer Protection in Electronic Commerce a user may withdraw a purchase within 7 days of it. Article 17(2)5 restricts withdrawal once the supply of digital content has begun, but not in respect of the portion of divisible digital content whose supply has not begun. Credit is divisible, so unspent credit falls within that proviso.
② In practice: a purchase whose credit is entirely unspent can be refunded in full by the user, from the billing page in the console, within 7 days of payment. Where some of the credit has been spent, or where the 7 days have passed, the console cannot do it automatically. Contact us and a person will handle the unspent portion.
③ Where goods or services are supplied differently from the advertised or contracted content, a user may withdraw within 3 months of supply, or within 30 days of the day the user learned or could have learned of the discrepancy.
④ The Company does not obstruct the exercise of the right of withdrawal. The refund policy states this in full and forms part of these terms.
Article 9 (Obligations of the user)
① A user agrees not to do any of the following, and agrees to bear sole responsibility for ensuring that anyone able to use the user's account does not do them either.
- Letting another person use the user's account or API key, providing either to a third party, or granting access rights to either.
- Attempting to copy, dismantle, analyze, imitate, modify or alter the Service through reverse engineering, decompiling, disassembling or any other processing.
- Attempting to access the technical foundations of the Service, such as its source code, processes, datasets or databases, administration tools, development tools, servers or hosting sites.
- Attempting to copy the features, functions or graphics of the Service; attempting to extract the Company's models; or training a directly competing model on the Service's outputs.
- Using the Service or accessing the system by an abnormal method rather than the normal method the Company provides, including any attempt to circumvent rate limits, quotas or billing.
- Abusing, obstructing, or interfering with the business of the Company's network, another user's account or the Service.
- Uploading or transmitting software, content or code that may damage the Service, render it inoperable, destroy it, or adversely affect its performance.
- Using the Service in a manner that may adversely affect other services or systems.
- Uploading audio the user has no right to process.
- Otherwise breaching the law or these terms.
② The Company may investigate conduct by a user that it judges to have breached, or to be likely to breach, the obligations in this article, and may take appropriate measures at its discretion. Those measures include a warning, deletion of content, deletion of the account, recovery of some or all of the benefits granted to that user, restriction of some or all of the Service, termination of the agreement, and reporting the matter to the relevant authorities; where damage arises from the user's conduct the Company may claim compensation for it.
③ A user is responsible for holding the right to process the audio they upload, including any consent from the people recorded that the law requires of them.
Article 10 (Protection and collection of content)
① Ownership of the content a user uploads to the Service or provides to the Company belongs to the user. The Company does not access, inspect or separately process a user's content except in the following cases.
- Where these terms or the Company's privacy policy so provide.
- Where the user permits, instructs or consents.
- Where it is necessary for the Company to perform its obligations under these terms.
- Where it is required by law.
② A user must lawfully secure the intellectual property rights in the content they use or provide, and must not infringe the lawful rights of a third party, including but not limited to intellectual property rights, rights of reputation, rights of likeness, copyright and trademark rights.
③ The Company may not use what a user has submitted to train models without prior consent. Audio is not reviewed as a matter of course; where a user asks the Company to investigate a specific job, the Company may listen to that job's audio to diagnose it, and only that.
④ Uploaded audio and the stems produced from it are deleted automatically 7 days after the job. A cleanup runs daily and removes jobs older than that, so a file's real lifetime is that window plus up to about a day. Download anything you want to keep. The jobs of a paying customer are not deleted automatically. Once an account has bought credit, in a purchase that has not been refunded in full, its own finished jobs that still exist and their audio are kept until the user deletes them or closes the account. Jobs billed to an organization are kept in the same way once the organization has bought credit, in a purchase that has not been refunded in full, or where a contract with the Company says so. A closed organization's jobs are kept only for the 30 days in which it can be restored. The privacy policy has the detail.
⑤ A user grants the Company only what running the Service requires: permission to store the audio while the job runs and for as long afterwards as paragraph ④ keeps it, to process it, and to return the result.
⑥ Sharing a result and downloading result files need a mobile telephone number verified by SMS code in the console; downloading also needs one completed purchase of credit on the account or on an organization it belongs to. Playing a result in the console and downloading the user's own uploaded files are not affected. A share link created before this paragraph took effect keeps working for 7 days after it was created, then needs the verification. One number is registered to one account.
Article 11 (Privacy policy)
① The Company endeavours to protect users' personal data as the relevant statutes provide, and the protection and use of personal data is governed by those statutes and by the Company's privacy policy.
Article 12 (Termination of the agreement)
① A user may stop using the Service at any time and may request deletion of the account by contacting us. Deleting an account removes the ability to reach any audio still stored for it.
② Refunds of unspent credit are governed by Article 8. Credit granted free of charge has no cash value.
③ The Company may suspend an account or terminate the agreement where a user has breached these terms, or where the law requires it. The Company gives the reason, unless giving it would itself be unlawful.
④ Where the Company terminates an account that has not breached anything (because it is withdrawing the Service, for instance), it refunds unspent purchased credit in full.
⑤ An account that is the last Owner of another organization with other members, or with a balance of $0.01 or more, cannot be closed until another member is made an Owner or the organization is closed. Closing an account ends its memberships; an organization in which it is the only member and whose balance is under $0.01 is closed with it. An account's own organization ends with the account, whatever its balance; while it has other members, the account cannot be closed until they have left or been removed. Jobs run for an organization stay with the organization.
Article 13 (Exclusion of warranty)
① The Company does not warrant the accuracy or the freedom from error of the Service.
② The Company does not warrant the quality, fitness for a particular purpose, timeliness or performance of the Service, nor guarantee that the Service will meet all of a user's requirements or operate without interruption or error.
③ A user must use the Service at the user's own risk and agrees that the Service is provided as it is, with all faults and without express or implied warranty.
④ The Company does not currently offer a service level agreement. The Service runs on limited hardware and jobs are processed as capacity allows.
Article 14 (Exemption of the Company)
The Company is not liable for damage arising from the following.
- Where the Service cannot be provided by reason of an act of God or comparable force majeure.
- Damage arising from repair, replacement, scheduled inspection, works or comparable causes affecting the equipment used for the Service.
- Interruption of the Service by reason attributable to the user.
- Damage arising because the quality of a separation did not meet the user's expectations, or arising from a user acting in reliance on a separated stem or a quality score.
- Damage arising from a user's breach of the obligations in Articles 9 to 11.
- Damage arising from any unlawful access to, or unlawful use of, the servers by a third party.
- Damage arising from any unlawful obstruction or interruption by a third party of transmission to or from the servers.
- Damage caused by any virus, spyware or other malicious program that a third party transmitted or disseminated, or caused to be transmitted or disseminated, using the Service.
- Damage arising from error, omission or destruction of transmitted data.
- Otherwise, damage arising from conduct in which the Company was neither wilful nor grossly negligent.
Nothing in this article limits liability that cannot be limited by law, including liability for the Company's own intent or gross negligence, or a consumer's rights under the Consumer Protection Acts.
Article 15 (Governing law and jurisdiction)
① These terms are governed by and construed in accordance with the laws of the Republic of Korea.
② Where litigation is brought over a dispute between the Company and a user, the Seoul Central District Court is the agreed court of first instance. Where the user is a consumer, however, the user may bring the action in the court having jurisdiction under the Civil Procedure Act.
③ If something goes wrong, tell us first: most of it we can fix. A user may also apply for mediation to the Korea Consumer Agency or a Consumer Dispute Settlement Commission.
